1. Acceptance of Terms

By accessing or using Trovato ("the Service") at trovatoai.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the Service.

These Terms constitute a legally binding agreement between you and Trovato ("we," "us," or "our"). By creating an account or using the Service, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

2. Description of Service

Trovato is an AI-powered lead qualification and customer relationship management (CRM) platform designed for residential real estate professionals. The Service enables users to:

  • Manage property listings and prospect contacts
  • Deploy AI chatbots to qualify leads and answer property inquiries via SMS
  • Schedule and manage property tours through Google Calendar integration
  • Track lead conversations and qualification status
  • Collaborate with team members on contact and listing management

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Eligibility

To use the Service, you must:

  • Be at least 18 years of age
  • Be using the Service for lawful business purposes
  • Have the legal authority to enter into a binding agreement on behalf of yourself or your organization
  • Not be located in a jurisdiction where use of the Service is prohibited by applicable law

The Service is intended primarily for licensed real estate professionals and their organizations in the United States. Use of the Service is void where prohibited by law.

4. Account Registration and Security

To access most features of the Service, you must create an account by signing in with Google. You agree to:

  • Provide accurate, current, and complete account information
  • Maintain the security of your account credentials and not share access with unauthorized parties
  • Notify us immediately at legal@trovatoai.com if you suspect unauthorized access to your account
  • Be responsible for all activities that occur under your account

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in fraudulent activity.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You agree not to:

  • Use the Service to send unsolicited messages (spam) or harass, threaten, or abuse any individual
  • Use the Service to contact individuals who have opted out of communications or requested to be removed from contact lists
  • Violate the Telephone Consumer Protection Act (TCPA) or any applicable telemarketing or messaging laws
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Upload, transmit, or distribute any content that is unlawful, defamatory, obscene, or otherwise objectionable
  • Scrape, crawl, or otherwise extract data from the Service in an automated manner without prior written consent
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Attempt to gain unauthorized access to any systems, networks, or data associated with the Service
  • Use the Service in any way that could damage, disable, or impair the Service or interfere with other users
  • Sell, resell, or sublicense access to the Service without our written permission

We reserve the right to investigate and take appropriate action against violations, including removing content, suspending accounts, and reporting violations to law enforcement.

6. Intellectual Property

The Service and all content, features, and functionality — including but not limited to software, text, graphics, logos, icons, images, and the compilation thereof — are the exclusive property of Trovato and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes in accordance with these Terms. This license does not include the right to copy, modify, distribute, sell, or exploit any part of the Service.

"Trovato" and associated logos are trademarks of Trovato. You may not use our trademarks without prior written consent.

7. User Content and Data

You retain ownership of all data, content, and information you upload or input into the Service ("User Content"), including property listings, prospect contact information, and conversation data.

By submitting User Content to the Service, you grant Trovato a worldwide, non-exclusive, royalty-free license to use, store, process, and transmit that content solely as necessary to provide and improve the Service. We will not use your User Content for any purpose beyond what is described in these Terms and our Privacy Policy.

You represent and warrant that:

  • You have all necessary rights and permissions to submit User Content to the Service
  • Your User Content does not violate any third-party rights or applicable laws
  • Prospect contact data entered into the Service was obtained lawfully and with appropriate consent for the communications you intend to send

8. Third-Party Services

The Service integrates with third-party platforms to deliver core functionality. By using the Service, you acknowledge that your use of those integrations is also subject to the respective third-party terms:

We are not responsible for the availability, accuracy, or practices of any third-party services. Links to third-party websites are provided for convenience only and do not constitute an endorsement.

9. AI and Automated Communications

Trovato uses artificial intelligence to generate and send messages to prospects on your behalf. By using the Service, you acknowledge and agree that:

  • You are solely responsible for ensuring that all AI-generated outreach complies with applicable laws, including the TCPA and any state-specific regulations
  • You have obtained any required consent from prospects prior to initiating AI-powered or automated communications
  • You will review and take responsibility for the content of messages sent through the Service
  • Trovato is acting as a service provider and processor on your behalf; you are the sender of record for all outbound communications

10. SMS and Communications Consent

The Service sends text messages to prospects on your behalf. You are responsible for ensuring that all recipients have provided appropriate consent to receive text messages from you before adding them to the platform.

All messages sent through the Service must include a clear opt-out mechanism. Prospects may reply STOP to any message to opt out of future communications. You must honor all opt-out requests promptly and not re-add opted-out contacts to active campaigns.

Standard message and data rates may apply to recipients. Message frequency varies based on conversation activity. You agree not to use the Service to send messages to numbers on the National Do Not Call Registry or any equivalent state registry unless you have a pre-existing business relationship or express written consent.

11. Payment and Billing

Access to the Service may require a paid subscription. If you subscribe to a paid plan:

  • You authorize us to charge the payment method on file on a recurring basis for the applicable subscription fees
  • Subscription fees are non-refundable except as required by applicable law or as expressly stated in a separate agreement
  • We reserve the right to change pricing with at least 30 days' notice; continued use after the effective date constitutes acceptance
  • Failure to pay may result in suspension or termination of your account

12. Termination

By you: You may cancel your account at any time by contacting us at legal@trovatoai.com or through the account settings in the Service. Cancellation takes effect at the end of your current billing period.

By us: We may suspend or terminate your account and access to the Service immediately, with or without notice, if you:

  • Violate these Terms or our Privacy Policy
  • Engage in fraudulent, abusive, or illegal conduct
  • Fail to pay applicable fees
  • Pose a risk to the security or integrity of the Service or other users

Upon termination, your right to use the Service ceases immediately. We will handle your data in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination will remain in effect.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee the accuracy, completeness, or usefulness of any content or information provided through the Service. You use the Service at your own risk.

We are not responsible for the conduct of any prospect or third party who interacts with AI-generated communications sent through the Service.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TROVATO, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

15. Indemnification

You agree to defend, indemnify, and hold harmless Trovato and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of or access to the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation, including the TCPA
  • Your User Content or the data you submit to the Service
  • Any AI-generated communications sent to prospects through your account

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Essex County, New Jersey.

Before filing any legal action, you agree to first contact us at legal@trovatoai.com and make a good-faith effort to resolve the dispute informally within 30 days.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Effective Date" at the top of this page and notify you by email or through a notice in the Service at least 14 days before the changes take effect.

Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service before the effective date.

18. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Trovato regarding the Service and supersede any prior agreements.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely.
